4. Payments, Invoicing & Advance Amount

Final deliverables are released only after full payment.
Payment Liability
Late or delayed payments may result in:

Suspension of work

Withholding of deliverables
Refund Policy
All payments (including advances) are non-refundable due to the strategic and creative nature of work.
5. Scope of Work & Revisions

Deliverables include only what is listed in the approved proposal.

Revision rounds are limited to the amount specified.

Requests outside the agreed scope will incur additional fees.
6. Client Responsibilities
Clients must:

Provide timely and accurate information

Supply required assets, approvals, and content

Ensure all materials they provide are licensed or owned

Respond promptly to maintain timelines
We are not liable for delays stemming from client inaction.
7. Deliverables, Ownership & Portfolio Rights
Ownership of Deliverables
Ownership of final files transfers only after full payment.
Portfolio Rights & Logo Usage
MarketLab reserves the right to:

Display client names and logos

Showcase completed work and case studies
-
Include projects in credentials, website, brochures, decks, and pitches

Promote delivered work as part of MarketLab’s portfolio
No additional permission is required unless restricted by a written NDA prior to the project start.
We will never disclose confidential or sensitive information.
Source / Working Files
Working files (PSD, AI, INDD, XD, Figma, raw videos, etc.) are not included unless purchased separately.
8. Intellectual Property
The client guarantees:

All provided materials are properly licensed or owned

No infringement occurs on third-party rights
MarketLab:

Creates original work or uses licensed assets

Reviews AI-generated outputs for originality, but cannot guarantee absolute uniqueness due to AI model training limitations
9. AI-Assisted Work
Clients acknowledge that:

AI tools may be used for internal workflows

All outputs are human-reviewed
-
Confidential data will never be entered into public AI tools
-
AI-generated visual assets may require additional licensing depending on usage
The client is responsible for ensuring their own internal compliance with AI deliverables.
10. Confidentiality
Both parties agree to maintain confidentiality regarding:

Non-public information

Project materials
-
Business details
-
Communications
Confidentiality obligations continue beyond project completion.
11. Limitation of Liability
MarketLab Creative Agency is not liable for:

Client-side delays, errors, or missing information
-
Third-party platform issues (Meta, Google, LinkedIn, TikTok, etc.)
-
Account bans, disapprovals, or policy restrictions
-
Algorithm changes or rising ad costs
-
Performance fluctuations or unexpected results
-
Loss of revenue, leads, profit, or opportunities
-
Dependence on projections or sample metrics
Total liability is limited to the amount paid by the client for the project.
11A. Performance Disclaimer & No Guarantees
Marketing, advertising, design, and digital performance are influenced by many external factors.
Therefore:
MarketLab does NOT guarantee:

Leads, conversions, or sales

Engagement, impressions, clicks, or traffic
-
Any financial results or ROI
-
Specific campaign outcomes
-
Consistent performance over time
-
Cost-per-lead or cost-per-result targets

Any outcome influenced by platform algorithms or competition
Not within MarketLab’s control:

Meta, Google, LinkedIn, TikTok, etc.

Ad approvals, restrictions, or account issues
-
Industry volatility and seasonality
-
Client website, landing pages, CRM, or follow-up processes
-
Client delays, content approvals, or missing assets
-
Consumer behaviour
Digital marketing inherently requires:

Testing

Optimisation
-
Trial-and-error
-
Iterative adjustments
Performance may fluctuate due to factors unrelated to our work.
All examples, estimates, and past results are illustrative only and not guarantees.
12. Third-Party Tools & Platforms
We use trusted platforms but are not responsible for:

Their performance

Outages or service changes
-
Policy updates
-
Tracking variances
-
Data accuracy

Integration conflicts
13. Termination
Either party may terminate with written notice.
Upon termination:

Completed or in-progress work must be paid for

Advance payments remain non-refundable

Only paid deliverables will be released
We may terminate immediately if:

Abuse or unprofessional behaviour occurs
